DhobiDesk Business Platform Terms & Conditions

These Terms and Conditions ("Terms") govern the access to and use of the DhobiDesk Business Platform ("Platform"), including the website, web dashboard, mobile applications, APIs, software, and all related services offered by R.D. SAFEWASH LAUNDERWORKS LLP ("DhobiDesk", "Company", "We", "Us", or "Our").

By creating an account, subscribing to any plan, or using the Platform, you ("Business", "Merchant", "Laundry Store", "You", or "Your") acknowledge that you have read, understood, and agree to be legally bound by these Terms.

1. Definitions

Platform means the DhobiDesk web application, mobile applications, APIs, cloud services, software, and all associated products and services.

Business means any laundry, dry cleaning store, commercial laundry, franchise, pickup & delivery service, or garment care business registered on DhobiDesk.

Customer Data means all information uploaded or generated by the Business, including customer information, orders, invoices, payments, staff records, delivery details, and reports.

Marketplace means the online marketplace within DhobiDesk through which Businesses may purchase detergents, packaging materials, chemicals, consumables, machinery, or other products.

Subscription Plan means any paid or free service plan offered by DhobiDesk.

2. Platform Services

DhobiDesk provides cloud-based business management software for laundry and garment care businesses.

Services may include:

• Customer Management
• Order Management
• Pickup & Delivery Scheduling
• Staff Management
• Expense Tracking
• Inventory Management
• QR Order Tracking
• Billing & GST Invoicing
• Reports & Analytics
• Marketplace Ordering
• WhatsApp & SMS Notifications
• Customer Mobile App Integration
• Online Payments
• Multi-Store Management
• API Integrations
• AI-powered features (where available)

DhobiDesk reserves the right to add, modify, discontinue, or improve any feature at its sole discretion.

3. Account Registration

You agree that:

• All registration information provided is accurate and complete.
• You are authorized to operate the registered business.
• You are responsible for maintaining account confidentiality.
• You are responsible for all activities performed through your account.
• You shall immediately notify DhobiDesk of any unauthorized access.

4. Subscription Plans & Payments

Certain Platform features require an active subscription.

By subscribing, you agree that:

• Subscription fees are payable in advance.
• Plans may be monthly, quarterly, or annual.
• Subscription fees are non-refundable unless otherwise stated.
• Failure to pay may result in suspension or termination of services.
• Prices may change with prior notice.

Applicable GST and taxes shall be charged as per Indian law.

5. Free Trial

DhobiDesk may offer a free trial for eligible Businesses.

At the end of the trial period:

• Access to premium features may be restricted.
• Continued use requires purchasing a subscription.
• DhobiDesk reserves the right to modify or withdraw free trial offers without notice.

6. Marketplace Orders

Businesses purchasing products through the DhobiDesk Marketplace agree that:

• Orders are subject to product availability.
• Prices may change without prior notice.
• Delivery timelines are estimates only.
• Marketplace products may be supplied by DhobiDesk or third-party vendors.
• Damaged or incorrect products must be reported within 48 hours of delivery.
• Returns and replacements shall be governed by the applicable Marketplace Return Policy.

7. Customer Data

The Business retains ownership of its Customer Data.

By using the Platform, You grant DhobiDesk a limited license to process, store, and use such data solely for providing Platform services.

DhobiDesk shall not sell Customer Data to third parties.

Anonymous and aggregated business statistics may be used for analytics and product improvement.

8. Acceptable Use

You agree not to:

• Use the Platform for unlawful purposes.
• Upload malicious software.
• Attempt unauthorized access.
• Reverse engineer the Platform.
• Copy or resell DhobiDesk software.
• Interfere with other Businesses' data.
• Use automated scripts to misuse the Platform.
• Violate applicable Indian laws.

Violation may result in immediate suspension.

9. Staff Management

Businesses are solely responsible for:

• Adding or removing staff members.
• Assigning appropriate permissions.
• Monitoring staff activities.
• Payroll management.
• Attendance records.
• Compliance with labour laws.

DhobiDesk is not responsible for disputes between Businesses and their employees.

10. Delivery & Logistics

Businesses using delivery features acknowledge that:

• Delivery schedules are managed by the Business.
• GPS tracking accuracy depends on device permissions and network availability.
• Customers should not rely solely on estimated delivery times.
• DhobiDesk is not liable for delivery delays caused by weather, traffic, or operational issues.

11. Payment Collection

The Platform may integrate with third-party payment gateways.

DhobiDesk:

• Does not hold customer funds.
• Is not responsible for payment gateway downtime.
• Is not liable for failed transactions caused by banks or payment providers.

Businesses are responsible for reconciling payments.

12. Third-Party Integrations

DhobiDesk may integrate with services including:

• WhatsApp
• SMS Providers
• Google Maps
• Payment Gateways
• Accounting Software
• APIs

Use of such services is subject to the respective provider's terms.

DhobiDesk is not responsible for interruptions caused by third-party services.

13. Intellectual Property

All software, source code, UI designs, logos, trademarks, databases, documentation, and technology belong exclusively to R.D. SAFEWASH LAUNDERWORKS LLP.

Businesses receive only a limited, non-transferable license to use the Platform.

No ownership rights are transferred.

14. Data Backup & Retention

DhobiDesk performs periodic backups of Platform data.

However:

• Businesses are encouraged to export important reports regularly.
• Active subscriptions retain access to available historical data as per the subscribed plan.
• If an account remains inactive or unpaid for more than 30 days, access may be suspended.
• After 90 days of continuous suspension or termination, DhobiDesk may permanently delete stored data without further notice.

15. Suspension & Termination

DhobiDesk reserves the right to suspend or terminate accounts if:

• Subscription fees remain unpaid.
• Fraudulent activity is detected.
• Platform abuse occurs.
• Illegal activities are identified.
• These Terms are violated.

Termination does not relieve the Business from outstanding payment obligations.

16. Limitation of Liability

To the maximum extent permitted by law:

DhobiDesk shall not be liable for:

• Loss of profits
• Business interruption
• Loss of customers
• Loss of goodwill
• Data corruption
• Hardware failures
• Internet outages
• Third-party service failures
• Indirect or consequential damages

In any event, DhobiDesk's total liability shall not exceed the subscription fees paid by the Business during the preceding twelve (12) months.

17. Indemnification

You agree to indemnify and hold harmless R.D. SAFEWASH LAUNDERWORKS LLP, its directors, employees, affiliates, and partners from any claims, damages, liabilities, legal proceedings, or expenses arising from:

• Misuse of the Platform.
• Violation of these Terms.
• Infringement of third-party rights.
• Illegal business activities.
• Customer disputes.

18. Confidentiality

Both parties agree to maintain the confidentiality of proprietary business information shared during the course of using the Platform.

Confidential information shall not be disclosed except where required by law.

19. Disclaimer

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis.

DhobiDesk does not guarantee:

• Uninterrupted availability.
• Error-free operation.
• Compatibility with all devices.
• Continuous access to third-party integrations.

Businesses use the Platform at their own risk.

20. Changes to the Platform

DhobiDesk may:

• Add new features.
• Remove existing features.
• Update pricing.
• Modify subscription plans.
• Improve system architecture.

Continued use after such changes constitutes acceptance of the updated Terms.

21. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of India.

Any dispute shall be subject to the exclusive jurisdiction of the competent courts in Bengaluru, Karnataka, India.
